These Terms of Service ("Terms") govern your access to and use of CancelZero, including our website, dashboard, APIs, widgets, and related services (collectively, the "Service"), operated by Orbinit Tech LLC, a Wyoming limited liability company.

By creating an account, subscribing, or using the Service, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

If you do not agree to these Terms, do not use the Service.

CancelZero provides software tools for subscription businesses to detect churn risk, run cancellation flows, collect exit feedback, and offer retention alternatives. Features may change over time as we improve the product.

We may modify, suspend, or discontinue any part of the Service at any time. We will use reasonable efforts to provide notice of material changes that significantly affect paid subscribers.

You must provide accurate registration information and keep your account credentials secure. You are responsible for all activity under your account.

You must be at least 18 years old and able to form a binding contract to use the Service. You may not use the Service if you are barred under applicable law.

Paid plans are billed on a recurring basis through our payment provider unless otherwise stated at checkout. By subscribing, you authorize us and our payment processor to charge applicable fees and taxes.

Fees are generally non-refundable except where required by law or explicitly stated in writing. Plan limits, pricing, and features are described on our website or within the Service and may be updated from time to time.

You may cancel your subscription through the billing settings in your account or as otherwise made available. Cancellation stops future billing but may not immediately remove access until the end of the current billing period, depending on your plan terms.

You agree not to misuse the Service. Without limitation, you will not:

You retain ownership of data you submit to the Service, including end-customer and subscription data imported from Stripe or collected through your cancellation flows.

You grant us a limited license to host, process, transmit, and display your data solely to provide, secure, and improve the Service.

You are responsible for obtaining any consents, providing any notices, and complying with applicable privacy, consumer protection, and payment laws relating to your use of cancellation flows and retention offers with your customers.

If you connect Stripe or other third-party services, your use of those services remains subject to their terms and policies.

CancelZero, including its software, branding, documentation, and content we provide, is owned by Orbinit Tech LLC or its licensors and is protected by intellectual property laws.

These Terms do not grant you any rights to our trademarks, logos, or brand assets except as needed to use the Service in accordance with these Terms.

The Service integrates with third-party providers such as Stripe, Clerk, Polar, and hosting infrastructure. We are not responsible for third-party services and do not control their availability, security, or policies.

Your relationship with any third-party provider is solely between you and that provider.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBINIT TECH LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or that retention offers or churn predictions will produce specific business results.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBINIT TECH LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to defend, indemnify, and hold harmless Orbinit Tech LLC and its officers, members, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your data, your cancellation flows, your violation of these Terms, or your violation of any law or third-party rights.

We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, pose a security risk, or if required by law.

You may stop using the Service at any time. Upon termination, your right to access the Service ends, but sections that by their nature should survive will remain in effect, including payment obligations, intellectual property, disclaimers, limitation of liability, and indemnification.

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction in those courts.

We may update these Terms from time to time. When we do, we will revise the 'Last updated' date at the top of this page. Material changes may also be communicated through the Service or by email where appropriate.

Your continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.
